1. Application of these terms
These Terms & Conditions apply to all services provided by Jaclyn Russell trading as Menopause Leadership ("Menopause Leadership", "we", "us").
By purchasing, booking or participating in any service, you agree to be bound by these Terms.
These Terms apply to:
- 1:1 coaching (individuals)
- Group coaching programs
- Corporate workshops
- Advisory and consulting services
- Online self-paced courses
- Digital downloads
- Ongoing retainers
2. Nature of services
Menopause Leadership provides education, coaching and advisory services.
Services are:
- Educational in nature
- Not medical, psychological or therapeutic treatment
- Not a substitute for professional medical advice
You acknowledge:
- We are not a doctor, psychologist, dietitian or medical practitioner.
- You are responsible for seeking independent medical or professional advice where required.
- You remain responsible for your decisions, actions and outcomes.
No guarantees are provided regarding results, outcomes or business performance.
3. Payment terms
3.1 Individuals
- Payment is required upfront unless otherwise agreed.
- For multi-session programs (e.g. 6 sessions), 50% is payable prior to commencement and 50% midway through the program.
- Instalment arrangements may be offered at our discretion.
3.2 Corporate clients
Invoices must be paid prior to delivery unless otherwise agreed in writing.
3.3 Digital products
All digital downloads and online courses are non-refundable.
4. Cooling-off period
A 7-day cooling-off period applies from the date of booking provided that:
- Services have not commenced; and
- No digital materials have been accessed or downloaded.
Once Services have commenced, no refunds are available.
5. Cancellations and rescheduling
5.1 Individuals
- Minimum 48 hours' notice is required to reschedule a session.
- Failure to provide 48 hours' notice or non-attendance results in forfeiture of the session.
5.2 Corporate workshops and advisory
After the 7-day cooling-off period:
- 14+ days' notice: 25% cancellation fee
- 7–13 days' notice: 50% cancellation fee
- Less than 7 days' notice: 100% of fees payable
Any non-refundable travel or third-party costs remain payable.
6. Confidentiality
We will treat information shared in coaching sessions as confidential, except where:
- Required by law
- There is risk of serious harm
- With your consent
Corporate clients acknowledge that confidentiality may be subject to organisational reporting structures as agreed.
7. Intellectual property
All materials, frameworks, content, recordings and resources provided remain the intellectual property of Jaclyn Russell.
You are granted a non-transferable, non-exclusive licence for personal or internal business use only.
You must not:
- Reproduce or distribute materials
- Commercialise content
- Deliver derivative programs
- Record sessions without prior written consent
Unauthorised recording constitutes a material breach of these Terms.
8. Limitation of liability
To the maximum extent permitted by law:
1. We exclude all liability for indirect, consequential or special loss, including but not limited to:
- Loss of profit
- Loss of revenue
- Loss of opportunity
- Reputational damage
- Workplace claims
2. We exclude liability arising from:
- Medical decisions
- Health outcomes
- Employment decisions
- Business decisions
3. Our total aggregate liability is limited to the fees paid by you to Menopause Leadership in the 12 months preceding the claim.
Nothing in these Terms excludes rights under the Australian Consumer Law that cannot lawfully be excluded.
9. Client responsibility
You acknowledge that:
- Coaching requires active participation.
- Outcomes depend on your engagement and external factors beyond our control.
- You remain solely responsible for decisions made following coaching or advisory sessions.
10. Insurance
Menopause Leadership operates as a sole trader. Clients are responsible for ensuring they hold appropriate insurance coverage where relevant to business or professional decisions.
11. Termination
We may terminate Services immediately if:
- Fees remain unpaid
- There is abusive or inappropriate behaviour
- There is unauthorised recording or misuse of intellectual property
No refunds will apply in such circumstances.
12. Privacy
Personal information is handled in accordance with our Privacy Policy.
13. Governing law
These Terms are governed by the laws of Queensland, Australia.
You submit to the exclusive jurisdiction of the courts of Queensland.
